NOTICE OF AMTIL ANNUAL GENERAL MEETING

NOTICE IS GIVEN that the ANNUAL GENERAL MEETING of the Company will be

held at

9:30am, 13 October 2026, to be held at Bosch, 1555 Centre Road Clayton VIC 3168. (The event will commence at 8:00am with breakfast and guests at 8:30).

A live stream will commence from 9:30am.

You are receiving this message as the “primary contact” and person who holds the vote for your member company. One vote is available per member company. If you wish to delegate your company’s vote, please complete a proxy (see below).

Financial Report

To receive the financial statements, directors’ and auditor’s report for the Company for the year ended 30 June 2026.

Composition of Board

The following members retired from the Board in accordance with the Constitution:

Annaliese Kloe and Joshua Wigley (who was appointed to fill a casual vacancy February 2026). The following 2 (two) nominations were received to fill (two) vacancies:

• Joshua Wigley

Resolution 1: Re-Election of Director – Annaliese Kloe

To consider and if thought fit, to pass the following resolution as an ordinary resolution:

That Annaliese Kloe, who retires by rotation in accordance with clause 21.2 of the Constitution of AMTIL, being eligible and offering themselves for re-election, be re-elected as a Director of the Company for a three-year term.

Resolution 2: Re-Election of Director – Joshua Wigley

To consider and if thought fit, to pass the following resolution as an ordinary resolution:

That Joshua Wigley, who was appointed to fill a causal vacancy in accordance with clause 25.4 of the Constitution of AMTIL, being eligible and offering themselves for election under clause 21.2, be elected as a Director of the Company for a three-year term.

VOTING ENTITLEMENTS

For the purpose of the Corporations Act 2001 (Cth) and determining a person’s entitlement to attend and vote at the annual general meeting, a person will be recognised as the ‘primary contact’ of financial member company if that person and company is registered as a member at 5:00pm AEST on 13 September 2026. All members companies are eligible to have a primary contact (and therefore a vote).

ATTENDANCE

The 2026 AMTIL annual general meeting will be held at 9:30am, 13 October 2026, to be held at Bosch, 1555 Centre Road Clayton VIC 3168. (Breakfast commencing at 8:00am and guest a guest speaker at 8:30am). All members are encouraged to participate.

LIVE STREAM

The AGM will be live streamed from 9:30 – 10:30 am. However, live voting will not be available online and a proxy must be completed in advance to register a vote.

PROXY

A proxy form accompanies this notice. Any member entitled to attend and vote at the meeting is entitled to appoint a proxy. A proxy must be a member of the Company. A member may not appoint more than one proxy.

To be a valid proxy form it must be returned to the Company by 9:30am AEST on 11 October 2026 (48 hours prior to the general meeting). To download the Proxy Form – click here.
